Are the seller’s numbers true?

What this tier needs from the seller
This check tests what the seller says against what their own papers show. That means we need the papers. Ask the seller for these six — the wording below is what to ask for.
- AccountsThe last full year as filed with the state. This is the number everything else is measured against.
- Bank statementsThree to twelve months. They show whether the money in the accounts actually moved.
- The leaseEvery page, including annexes. Rent, term, and what happens when the owner changes.
- Licences and permitsWhatever the trade requires. Some are issued to a person, not to the business, and leave with the seller.
- Till or POS exportDaily takings as the till recorded them. It is the hardest number for a seller to dress up.
- Staff listRoles, start dates and salaries. Staff usually transfer with the business, and so do their unpaid claims.
Black out personal data before you send. Roles, start dates and salaries — yes. Names, ID numbers and home addresses — no. We are not allowed to hold them.
No documents yet? Send the order anyway. It is delivered as “Before the deposit” plus a written list of exactly what to request from the seller. When the seller hands over papers, pay €400 more: the €550 you paid for the same business counts in full.
Buyer-side only — we never contact the seller or the broker. Documents are processed for your order only, stored under EU jurisdiction, and deleted no later than 90 days after delivery. Questions — write to support@provenancediligence.com. An independent report on the business — not legal or financial advice; take anything important to your own lawyer or accountant.
